Sustainability Governance

Osotspa has established a sustainability governance structure, with the Board of Directors serving as the highest governing body responsible for overseeing and setting the Company’s sustainability policies, direction, and strategy. The Board has delegated specific sustainability oversight responsibilities to the Nomination, Remuneration, Corporate Governance and Sustainability Committee, a Board-level committee responsible for reviewing and endorsing sustainability targets across relevant time horizons, overseeing sustainability performance and stakeholder communications, and monitoring implementation to ensure alignment with the Company’s Sustainability Policy.

The governance structure is further supported by management at various levels, with clearly defined sustainability oversight and management responsibilities as follows:

Management Structure

The Sustainability Working Group serves as a dedicated management-level platform for driving and coordinating Osotspa’s sustainability agenda across the organization. The Working Group is chaired by the Chief Executive Officer and comprises senior executives and functional leaders with responsibilities across key areas of the business. Members include, among others, the Chief Marketing and Innovation Officer, Chief Manufacturing Officer, Head of Human Capital, Head of Sustainability, and Head of Strategic Procurement and Supply Chain.

The Working Group brings together executives and functional leaders who report directly to the Chief Executive Officer or hold senior management responsibilities within their respective functions. It provides strategic direction, coordinates cross-functional implementation of sustainability priorities, monitors progress against the Company’s sustainability targets and roadmap, and supports the integration of sustainability considerations into business planning and decision-making.

The Sustainability Working Group works closely with the Sustainability Department and relevant business functions to ensure that sustainability policies, strategies and initiatives are effectively implemented across the organization and that material sustainability matters are escalated to the Executive Committee and the Nomination, Remuneration, Corporate Governance and Sustainability Committee, as appropriate.

The Sustainability Development function plays a key role in driving and managing the Company’s sustainability agenda. It works closely with relevant functions across the organization to initiate, plan, and implement sustainability initiatives, monitor progress, evaluate performance, and continuously improve processes to enhance effectiveness. The function also fosters collaboration with internal and external stakeholders to support the achievement of the Company’s sustainability targets.

The Sustainability Development function reports on sustainability performance to the Nomination, Remuneration, Corporate Governance and Sustainability Committee at least quarterly and to the Board of Directors at least annually.
